By accessing or using CrownDesk ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including healthcare professionals, dental practices, and their staff members.

We reserve the right to update these Terms at any time. We will notify users of material changes via email or through the Service. Continued use constitutes acceptance of updated Terms.

User Accounts & Responsibilities

Account Creation

  • • You are responsible for maintaining the security of your account
  • • You must be at least 18 years old to create an account
  • • One person or entity may not maintain multiple accounts

Professional Use

  • • CrownDesk is intended for licensed healthcare professionals
  • • You must comply with all applicable healthcare regulations
  • • You are responsible for patient data entered into the system
  • • You must maintain appropriate professional liability insurance

Prohibited Activities

  • • Using the Service for any unlawful purpose
  • • Attempting to gain unauthorized access to other accounts
  • • Uploading malicious code or conducting security attacks
  • • Sharing your account credentials with unauthorized users
  • • Using the Service to compete with CrownDesk

Data & Privacy

Your Data Ownership

You retain all rights to your data. CrownDesk does not claim ownership of any data, content, or information you upload, store, or process through the Service.

HIPAA Compliance

CrownDesk is designed to comply with HIPAA requirements. We will execute a Business Associate Agreement (BAA) with covered entities as required by law.

Subscription & Billing

Payment Terms

  • • Payments are due on the date specified in your billing cycle
  • • We accept major credit cards and ACH transfers
  • • You authorize automatic billing to your chosen payment method

Refunds and Cancellation

  • • You may cancel your subscription at any time
  • • Cancellation takes effect at the end of your current billing period
  • • Refunds are provided for unused portions of annual subscriptions
  • • No refunds for monthly subscriptions or partial months

Suspension and Termination

We may suspend or terminate your account for non-payment, violation of these Terms, or if required by law. You will receive notice and opportunity to cure breaches where possible.

Limitations & Disclaimers

Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We may perform maintenance that temporarily affects availability.

Professional Responsibility

CrownDesk is a tool to assist healthcare professionals. You remain solely responsible for all clinical decisions, patient care, and compliance with professional standards.

Limitation of Liability

Our liability is limited to the amount you paid for the Service in the 12 months preceding any claim. We are not liable for indirect, incidental, or consequential damages.

Indemnification

You agree to indemnify CrownDesk against claims arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

Legal Provisions

Governing Law

These Terms are governed by the laws of California, without regard to conflict of law principles. Any disputes will be resolved in San Francisco County courts.

Dispute Resolution

Before filing any lawsuit, parties agree to attempt resolution through good faith negotiation for 30 days. If unsuccessful, disputes may be resolved through binding arbitration.

Severability

If any provision of these Terms is found unenforceable, the remainder will remain in full force and effect.

Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, or network outages.
